Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Superidea platform at app.superidea.ai and the Superidea desktop application (collectively, the "Service"), operated by Superidea LLC ("Superidea", "we", "us", or "our"), a Delaware limited liability company.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or 16 in the EEA) to use the Service. By agreeing to these Terms, you represent that you meet this requirement. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Accounts

2.1 Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials. Do not share your password.

2.2 Account Activity

You are responsible for all activity that occurs under your account. Notify us immediately at support@superidea.ai if you suspect unauthorised access.

2.3 One Account Per Person

You may not create multiple accounts to circumvent credit limits, bans, or other restrictions.

3. The Service

Superidea is an AI-powered research and content creation workspace. The Service allows you to:

  • Create boards containing content nodes from social platforms, documents, webpages, and files

  • Chat with AI models using your board content as context

  • Generate images and videos using AI

  • Collaborate with team members in real time

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

4. Credits and Payments

4.1 Credit-Based Billing

AI features on Superidea consume credits. Credits are deducted per AI request based on the model and token usage. 1 credit = $0.01 USD of AI cost at our published multiplier rate.

4.2 Purchasing Credits

Credits may be purchased through our in-app payment flow. All purchases are processed by Stripe. Prices are displayed in USD.

4.3 No Refunds

All credit purchases are final and non-refundable, except where required by law. If you believe a charge was made in error, contact support@superidea.ai within 7 days of the transaction.

4.4 Expiry

Purchased credits do not expire. Sign-up bonus credits expire 12 months from account creation.

4.5 Price Changes

We may change credit pricing at any time. Changes apply to future purchases only, not credits already purchased.

5. Acceptable Use

You agree not to use the Service to:

  • Generate or distribute illegal, harmful, abusive, or harassing content

  • Violate any applicable law or regulation

  • Infringe the intellectual property rights of others

  • Scrape, crawl, or extract data from the Service in an automated manner beyond normal use

  • Attempt to gain unauthorised access to any part of the Service or its infrastructure

  • Resell, sublicense, or otherwise commercialise access to the Service without our written permission

  • Reverse engineer, decompile, or disassemble any part of the Service

  • Use the Service to develop a competing product

  • Upload malware or any code designed to disrupt the Service

  • Circumvent rate limits, credit checks, or access controls

We reserve the right to suspend or terminate accounts that violate these rules.

6. Your Content

6.1 Ownership

You retain ownership of content you create or upload to the Service ("Your Content"). By using the Service, you grant Superidea a limited, worldwide, non-exclusive, royalty-free licence to store, process, and transmit Your Content solely as necessary to operate the Service.

6.2 AI Processing

By submitting content to AI chat, you acknowledge that the content (your messages and selected board nodes) will be sent to third-party AI providers (Anthropic, OpenAI, Google, etc.) to generate responses. These providers have their own terms and privacy policies.

6.3 No Training

We do not use your content to train AI models. Your board content, chats, and documents are not shared with any party for training purposes.

6.4 Responsibility

You are solely responsible for Your Content. You represent that you have all rights necessary to upload and use Your Content within the Service, and that it does not violate these Terms or any applicable law.

7. Third-Party Content and Platforms

The Service enables you to extract content from third-party platforms (YouTube, Twitter/X, Instagram, TikTok, etc.). You are responsible for ensuring your use of extracted content complies with those platforms' terms of service and applicable copyright law. Superidea is not responsible for third-party content accessed through the Service.

8. Intellectual Property

8.1 Our IP

The Service, including its software, design, and branding, is owned by Superidea LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or intellectual property.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction or compensation to you.

9. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free

  • AI-generated content will be accurate, complete, or suitable for any purpose

  • The Service will meet your specific requirements

AI outputs are generated by third-party models and may contain errors, inaccuracies, or outdated information. Always verify AI-generated content before relying on it.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPERIDEA LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

  • LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION

  • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $50 USD.

Some jurisdictions do not allow certain limitations of liability; in such jurisdictions our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Superidea LLC and its affiliates, officers, directors, and employees from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Termination

13.1 By You

You may delete your account at any time from the Settings page. Deletion removes your boards, content, and personal data subject to our retention obligations (see Privacy Policy).

13.2 By Us

We may suspend or terminate your account immediately if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. We will endeavour to notify you unless prohibited by law.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases. Unused purchased credits are not refunded except where required by law. Sections 6, 8, 10, 11, 12, 14, and 15 survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You and Superidea each waive the right to a jury trial and the right to participate in class action litigation.

You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@superidea.ai with the subject line "Arbitration Opt-Out".

15. General

  • Entire Agreement — These Terms and the Privacy Policy constitute the entire agreement between you and Superidea regarding the Service.

  • Severability — If any provision is found unenforceable, the remaining provisions remain in full force.

  • No Waiver — Our failure to enforce any right does not constitute a waiver of that right.

  • Assignment — You may not assign your rights under these Terms. We may assign ours in connection with a merger, acquisition, or sale of assets.

  • Changes — We may update these Terms at any time. Material changes will be notified by email or in-app notice. Continued use after changes constitutes acceptance.
